Licensing & Pricing

The normal way of licensing the Boffin/Open application or part thereof, is to issue directly a Runtime License in Perpetuity to the end-user for the application server being installed; even if the end user business was initially conducted through an authorized Partner.
All such licenses start from the Bishopstrade Standard License Agreement, which is subject to change without notice but can be updated, expanded and/or changed as a result of individual negotiations. Subject to contract, the Licensee is licensed to use the application or parts thereof in named installation(s) and for a maximum number of concurrent-users and/or devices license for his own use and not as a bureau service to other companies in application server computers with four or less processors. There is a minimum number of concurrent-users/devices in any given license of (5) five, which falls in line with the minimum imposed by Oracle for their ASFU runtime sub-licenses.
Bishopstrade Limited is a member of the Oracle Partner Network (OPN) with an Oracle Distribution Agreement in place, and, as such, is able to sell Oracle runtime sub-licenses in support of Boffin/Open licenses.
There are two ways of obtaining the runtime license.
The first method is one where an single license fee is paid at the outset for which the user is able to use the runtime Oracle and Boffin/Open software in perpetuity without further payment but only on the server initially identified and only for the maximum number of licensed concurrent-users/devices agreed at the outset and with four or less processors in the server. If the server is upgraded with additional memory and/or other peripherals, but not replaced, there is no license fee implication. In the event that the server is exchanged, the Oracle and Bishopstrade license(s) immediately expire. The Bishopstrade License fee does not include a component for the applicable perpetual Oracle runtime license. All requested changes and/or additions to the Boffin/Open software are chargeable at the then-current daily programming rate for each man-day or part thereof and are subject to written quotation and written acceptance of the quotation. No chargeable work can be performed for any customers who have outstanding account balances with Bishopstrade Limited. The current rate for this method of license payment for the complete application is US$7,600.00 per concurrent runtime license. Or the basic for 5 users to start will amount to USD 38.000,00.

The second method is one where Bishopstrade charges, at their then current daily rate, to cover the initial installation, commissioning and training; the amount of which is controlled by the client.

From the end of the month in which Bishopsgate delivered the Boffin/Open application software to the site, a monthly rental charge is levied, per concurrent-user/device, in advance for use of the runtime Oracle RDBMS and necessary Oracle runtime products and the agreed Boffin/Open runtime application software.

Where the user increases the number of licensed concurrent-users/devices, the monthly, in advance rental charges will be increased pro-rata from the end of the month in which the increased number of concurrent-users/devices was implemented.

The Bishopstrade License fee does now include a component for the Oracle runtime licenses.

All requested changes and/or additions to the Boffin/Open software are chargeable at the then-current daily programming rate for each day or part thereof and are subject to written quotation and written acceptance of the quotation.

No chargeable work can be performed for any customers who have outstanding account balances with Bishopstrade Limited.

There are a minimum number of 5 license seats that can be supplied under this method, in line with Oracle's licensing policy.

The current rate for this method of license payment for the complete application is US$ 317.00 per concurrent-user/device per month; being one twenty-fourth of the License Fee; which does not stop after 24 months, but continues indefinitely. This translates in a monthly rental of USD 1.585 for a minimum of 5 users.

Optionally, the user is able to enter into a separate,

Annual Software Support and Maintenance Agreement (ASSM), which runs for twelve months at a time, from the Boffin/Open software Delivery Date to the site and ending at the end of the then-current year.

If an Annual Software Support and Maintenance Agreement is to be put in place, this must be at the outset of the Supply Agreement and cannot be setup later; unless all past payments starting from the end of the month of Boffin/Open software delivery are paid as a single payment.

The annual fee is charged annually in advance, at a rate of 22% of the Initial Runtime License fee.

The 22% full price for the ASSM is made up of two components;

Any Updates component costing 17% of the Initial License Fee and a Helpdesk facility costing 5% of the Initial Runtime License Fee, both charges are per annum in advance.

It is quite acceptable for a user to contract for one or two or the whole of the ASSM on offer. Where this annual software support and maintenance agreement is in place, Bishopstrade will make available a completely new replacement runtime program directory, four times per year, which can be downloaded from the Bishopstrade Development Centre website; after the user has been supplied with a logon and password to the Users confidential area of the website. .

Payment terms

Bishopstrade will invoice its customers in (USD) United States dollars and requires payment in the same currency within 30 days of invoice date. Customers are responsible for any banking charges associated with the payment of Bishopstrade charges.

Customers are encouraged to make payments by bank transfer or through Internet banking facilities by quoting the Bishopstrade invoice number as the payment reference.

Customers who are behind in their payments will need to bring their payment plan up-to-date before requesting any additional services.

Customers on rental terms who fall more than two months overdue (three months from invoice date) will cause the rental system to cease operation without damaging the user's data, automatically, in which case the rental system can be re-started by full payment of the overdue amount; in which case the re-start of the system will have to wait until Bishopstrade have 'cleared funds'. Bishopstrade are willing to negotiate with new customers regarding the currency of payment where it can be seen to that paying in United States dollars would be difficult. .

Bishopstrade daily rate

The current rate for a man-day is US$1.250.00 plus any Value Added Tax and/or similar taxes and/or duties that are correctly chargeable, which will be separately shown on the Bishopstrade invoice.

Any direct expenses in travel and/or subsistence that are necessary will be charged at cost to the user.

Where a customer commissions Bishopstrade to produce some New or Amended application software, Bishopstrade will assess the work and include the expected number of man-days to be charged in the written quotation.

A man-day comprises 7 hours, which equates to a day starting at 09:00 and ending at 17:00 with a one-hour lunch break. Customers should be aware that Bishopstrade staff, along with very many software engineers, often work very long hours. Where a Bishopstrade operative works longer than seven hours per day, billing for that day will vary, pro-rata on the seven-hour day.

Cost of building a BOFFIN/Open Oracle Server
Desktop and Laptop computers and larger machines of suitable configuration can be used as Boffin/Open Oracle servers. Bishopstrade publishes the recommended minimum configuration for Boffin/Open Oracle servers and instructions for contracting customers who wish to build their own systems 'from scratch'.

Where Bishopstrade are asked to build a Boffin/Open Oracle Server, the user will normally supply the machine with the applicable operating system already installed and operating to a Bishopstrade office or Bishopstrade will be at the customer's site performing other work.
The customer can elect to pay Bishopstrade for building a server using the Bishopsgate then-current man-day charge rate for time and materials, described above or pay a fixed charge of US$3,500 per server plus any direct expenses, at cost. Building a Boffin/Open server includes all necessary installation actions to get the operating system, Oracle and Boffin/Open running well, it does NOT include installing other third-party software products. Where the customer wishes Bishopstrade to install other third-party software products, this work will be the subject to a written quotation and written acceptance.
The Source licenses
The Boffin/Open design can be traced back to 1975, five years after Bishopsgate Computer Services Limited was first formed. The current Boffin/Open product is therefore the result of about 30 years of design and development.
The source code of the product is the 'jewel in the crown' of our company and it may be taken that we take great care of our possession. Where a user wishes to take a copy of the latest Boffin/Open product and use it as his own 'starting point' for an in-house system, this is quite reasonable and can be accommodated but there will be a substantial up-front, single payment charge for the source license, documentation and hand-over period.
The source license agreement will not permit anyone to take a source license and then become a competitor to Bishopstrade Limited.
Where a third party takes a Source License Agreement, he will need to demonstrate that he already holds an appropriate Oracle Development License or obtain such a license from Bishopstrade, after which time a Laptop computer will be built by Bishopstrade Limited for the licensee on which all of the software development tools, source code and data tables will be setup and ready for use. From this laptop computer the licensee will be able to do any technical work that Bishopstrade would be able to do.
Payment for Source Code Licenses is all made before the Source Code License material is handed-over. Only Bishopstrade Limited is able to issue Source Code Licenses.
Sample quotation for a small Boffin/Open installation
The following sample quotation is for a small to medium Boffin/Open installation, where the CUSTOMER already has a number of Personal Computers that will be upgraded to act as Boffin/Open Rich Client-PCs.

The installation will be based upon a new Application Server, which will be purchased specifically for the new Boffin/Open installation.

The purpose of including this sample quotation is to show an honest sample build-up of the costs involved. The figures contained here are accurate at the time of writing, but are, of course, subject to change without notice.

Computer hardware
The computer application server can be obtained from virtually any manufacturer; Bishopstrade have built and delivered several based upon the Hewlett Packard Proliant ML350 G4. HP has been very successful and trouble free.

The amount of Random Access Memory (RAM) and hard disk space (HDD) that has been purchased at the outset is more than a minimum installation would require, as the installation is expected to grow rapidly.

Brief description of the server configuration Tower cabinet for HP ML370 G4 with one 3.20GHz/1MB Xeon processor;

1 Gigabyte of RAM, Microsoft Windows 2003 Server Standard Edition with 5 CALs; Ultra 3 (6 x 1") hot pluggable drive cage; no RAID;

Operating System C: drive = 146.8 Gigabyte 15,000 rpm SCSI; D: drive 146.8 Gigabyte 15,000 rpm SCSI; E: drive 146.8 Gigabyte 15,000 rpm SCSI; F: 146.8 Gigabyte 15,000 rpm SCSI; NC7781 Single Port PCI-X embedded NIC;

Additional Network card = HP NC320T PCI Express Gigabit Server Adapter 10/100/1000T; DVDROM/CD-RW Drive Option Kit; Hot redundant power supply module; Hot pluggable redundant Fan; Remote Insight Lights-out Edition II; HP L1530 15" TFT Flat Panel monitor analogue/digital and multimedia;

UPS Model T1000 XR (1000VA, 700 Watt) low voltage tower.

Boffin2/Open 10i considerations
It is proposed that the Boffin/Open installation be run as a Client/Server Local Area Network, using high speed (100 Megabits per second Ethernet). There are no practical technical limits on the number of Client-PCs or PCL 5e compliant printers that can be configured, but the initial Boffin/Open Runtime license will be for 5 users.

Oracle runtime licenses
The Oracle runtime user-licenses will be obtained through the Bishopsgate Oracle Partner Network (OPN) and are being supplied for the sole use of running the Boffin/Open application on the Oracle 9i Release 2 or later database.

All of the runtime Boffin/Open application software being delivered will be 100% compatible with the runtime Oracle Forms and Reports 6i (Client/Server) and Oracle 9i AS Internet interfaces. We confirm that the Oracle installation will be based on a computer server having less than 4 processors and that you will not be required any Oracle support or development programming of your own.

Oracle Software Support & Maintenance and Helpdesk facilities
We confirm that we have briefed you, on behalf of your company, on the availability of Oracle Software Support and Maintenance and Helpdesk facilities and that you have freely elected not to have these services whereby you preferred to have the Oracle installation built and installed and then left running for the four/five year period.

Required Oracle runtime licenses

5 user runtime license of Oracle Standard Edition

5 user runtime license of Oracle 9iAS Edition

Required Boffin/Open runtime Licenses

A minimum of five runtime user licenses is required. We confirm that we will build this Boffin/Open Application Server with two complete Oracle databases.

The first database will contain a complete recent copy of a live database. This database will be used for initial training and then will be (carefully and logically) deleted to release the hard disk space back for the live expansion. WARNING: This logical deletion of the training database will be performed under our Supervision. The database system files cannot simply be deleted.

The second Oracle database will be created ‘clean’ and as ready for live data to be entered, as soon as possible.

Single SwiftView server license

The latest release of Boffin/Open includes a facility where perfect copies of Boffin/Open derived documents, such as but not limited to Sales Invoices and Credit Notes can be displayed on the calling terminal screen; both locally and remote. To make it possible to logically combine the appropriate Boffin/Open PCL5e printer macro and the data-processing data, in memory, prior to display, we use this SwiftView third-party software. Only a single user-license needs to be purchased as the software resides within the Boffin/Open application Server.

Country differences and software changes

We will be issuing a more-technical letter, within which we will be asking a number of questions that will affect the ‘build’ of the Boffin/Open Application Server; such as but not limited to

(1) Is VAT in place, if so at what rate and can we have a photocopy of the legislation

(2) What is the full name and address of the user-company, company number, VAT number etc.

(3) Tell us about Import and Export Customs Declarations and if you wish to process these through Boffin/Open.

We remind you that there will be a charge for a VAT software reprogramming and for any changes/additions for country Customs Declaration(s).

We think that there will not be many changes necessary for the system to run in the intended country. Minor changes will be effected at no charge. However, there is no allowance in our price for ‘customer inspired changes and/or additions’, which will be charged to you, as they occur and after consulting yourselves.
